These Terms and Conditions govern the use of Greenberries' technology services, including web development, software delivery, IT advisory, AI automation, and cloud infrastructure services. By engaging Greenberries or using any platform or product built and delivered by Greenberries, you agree to these terms.
1. Services
Greenberries provides custom technology services on a project or retainer basis. The scope of each engagement is defined in a separate proposal, statement of work, or written agreement between Greenberries and the client. Services may include but are not limited to:
- Website and web application design and development
- IT strategy, advisory, and technology roadmapping
- AI integration and workflow automation
- Cloud infrastructure setup, hosting, and ongoing maintenance
2. Intellectual Property
Upon full payment, clients receive ownership of the deliverables produced for them unless otherwise agreed in writing. Greenberries retains the right to reference completed work in its portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.
Greenberries retains ownership of all proprietary tools, frameworks, templates, and internal systems used in the delivery of services.
3. Payment
Payment terms are outlined in the individual project proposal or retainer agreement. Greenberries reserves the right to pause work on any engagement where payment is overdue by more than 14 days. All fees are quoted in South African Rand (ZAR) unless otherwise stated. International clients may be invoiced in USD at the prevailing rate.
4. Confidentiality
Greenberries treats all client information, business data, and project details as confidential. We do not share, sell, or disclose client information to third parties. Clients are similarly expected to keep any proprietary methods, pricing, or internal processes shared by Greenberries confidential.
5. Hosting and Third-Party Services
Many Greenberries solutions are deployed on third-party platforms including Netlify, Railway, and Supabase. While Greenberries manages the technical setup and ongoing maintenance, the availability and performance of these platforms are subject to their own terms of service. Greenberries is not liable for downtime or data loss caused by third-party platform failures.
6. Limitation of Liability
Greenberries will deliver services with reasonable care and skill. However, we are not liable for any indirect, incidental, or consequential damages arising from the use of any deliverable or service. Our total liability in any matter is limited to the fees paid for the specific service in question.
7. Enquiries and Contact Forms
Information submitted through the contact or enquiry form on this website is used solely to respond to your enquiry. We do not store, share, or use this information for any other purpose without your consent. See our privacy practices below.
8. Privacy
Greenberries collects only the information necessary to deliver its services and respond to enquiries. We comply with the Protection of Personal Information Act (POPIA) as applicable in South Africa. You have the right to request access to, correction of, or deletion of any personal information we hold about you by contacting us at support@greenberries.co.za.
9. Changes to These Terms
Greenberries may update these Terms and Conditions from time to time. The most current version will always be available at greenberries.co.za/terms.html. Continued use of our services after any changes constitutes acceptance of the updated terms.
10. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or from any engagement with Greenberries will be subject to the jurisdiction of the South African courts.
